Latefee

Terms of service and end-user licence

Version 2026-10-27 · Last updated 27 October 2026

1. About these terms

These terms are an agreement between you and HaidurQureshi Ltd, trading as Latefee ("we", "us"), a company registered in England and Wales (company number 16936643), with its registered office shown on our contact page. They cover your use of the Latefee website, web app and related services (the "Service"), and they are also the end-user licence agreement for the Service.

Latefee is for businesses only. By creating an account you confirm that you're using it for your trade, business or profession, not as a consumer, and that you're 18 or over and allowed to accept these terms for your business.

2. Accepting and changing these terms

You accept these terms, and our privacy notice, when you create an account. We keep a record of which version you accepted and when.

We may update these terms. For a change that affects you materially, we'll email you at least 30 days before it takes effect. If you don't agree, you can close your account before then. If you keep using the Service after that date, you accept the updated terms.

3. Your licence to use Latefee

While your account is open and you follow these terms, we give you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your own business. You must not, and must not help anyone else to:

4. Your account

Keep your details accurate and your password secure, and don't share your login. You're responsible for everything done through your account. Tell us straight away at support@latefee.co.uk if you think someone else has used it.

5. What Latefee does

Latefee calculates statutory interest and fixed compensation under the Late Payment of Commercial Debts (Interest) Act 1998, and sends payment reminders to your clients on your behalf, signed with your business name. It is a calculation and communication tool. It isn't legal or financial advice, and we're not a law firm, debt collection agency or debt adviser. For large or disputed debts, get professional advice.

6. Your responsibilities

7. Connecting Xero or QuickBooks

On Pro, you can connect Xero or QuickBooks Online. By connecting, you confirm that you're authorised to give Latefee access to that organisation or company, and you instruct us to read your unpaid sales invoices and customer contact details to provide the Service. We only read this data. We never create, change or delete anything in your accounting software. Our privacy notice explains exactly what we access and how we handle it.

Xero and QuickBooks are provided by Xero Limited and Intuit Inc. under their own terms, and we're not responsible for their availability, accuracy or actions. You can disconnect at any time, from Latefee or from the accounting software. If a provider changes or withdraws its service, we may have to change or stop that integration.

Xero is a trademark of Xero Limited. QuickBooks and Intuit are trademarks of Intuit Inc. Latefee isn't affiliated with, sponsored by or endorsed by either company.

8. Your data

You keep ownership of everything you put into Latefee or import into it ("Your Data"). You give us permission to store and process Your Data only as needed to provide, secure and support the Service for you. We won't sell Your Data, use it for advertising, or use it to train, fine-tune or improve any artificial intelligence or machine-learning model.

9. Plans and payment

10. Data processing terms

This section forms the data processing agreement required by Article 28 of the UK GDPR, for personal data in Your Data about your clients and their staff ("Client Personal Data").

  1. Roles. You are the controller and we are your processor. The subject matter is the Service. It lasts as long as you use the Service. The data is business contact details (names and business email addresses) and invoice information about your clients. We process it to store and display it, calculate amounts owed, and send reminders.
  2. Instructions. We process Client Personal Data only on your documented instructions, which are these terms and the settings you choose in the Service, unless the law requires otherwise. If it does, we'll tell you first unless the law forbids that. We'll tell you if we think an instruction breaks data protection law.
  3. Confidentiality. Anyone we authorise to process Client Personal Data is bound by confidentiality.
  4. Security. We use appropriate technical and organisational measures to protect it, as described in section 9 of our privacy notice.
  5. Sub-processors. You authorise us to use the sub-processors listed in section 6 of our privacy notice. We'll give you at least 30 days' notice by email before adding or replacing one, so you can object. If you do, and we can't reasonably accommodate the objection, you may close your account. We put data protection terms in place with each sub-processor that are no less protective than these, and we remain responsible for them.
  6. Transfers. We transfer Client Personal Data outside the UK only with the safeguards described in section 7 of our privacy notice.
  7. Assistance. We'll help you, taking into account what we process, to respond to requests from individuals exercising their rights, and with security, breach notification, impact assessments and consultations with the ICO.
  8. Breaches. We'll notify you without undue delay after becoming aware of a personal data breach affecting Client Personal Data, with the information you reasonably need to meet your own obligations.
  9. Deletion. When your account closes, we delete Client Personal Data straight away. It's then removed from our backups within 30 days, unless the law requires us to keep it. You can delete it yourself at any time before then.
  10. Audit. We'll make available the information you reasonably need to show that we comply with this section, and allow for and contribute to reasonable audits, on reasonable notice and no more than once a year unless a regulator requires it.

11. Acceptable use

Don't use Latefee to harass or threaten anyone, to send messages that are false, misleading or abusive, to chase debts that aren't genuinely owed, or to send anything other than reminders about real invoices. We may suspend or close accounts that do, and we may pause automatic sending if we see unusual activity or high bounce or complaint rates.

12. Availability and changes to the Service

We work to keep Latefee running smoothly, but we can't promise it will always be available or free of errors. We may need to pause it for maintenance or for reasons outside our control. We may improve or change features over time. If we remove a paid feature you rely on, we'll tell you in advance.

13. Intellectual property

We, or our licensors, own all rights in the Service, including its software, design, text and branding. Apart from the licence in section 3, these terms don't give you any rights in it. If you send us feedback, we can use it freely.

14. Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that can't be limited by law.

Otherwise, to the extent the law allows: we don't guarantee that any debt will be recovered; we aren't liable for loss of profit, revenue, business, goodwill or data, or for any indirect or consequential loss; and our total liability to you in any 12-month period is limited to the greater of the fees you paid us in that period and £100.

You'll compensate us for claims by third parties, including your clients, arising from reminders about debts that weren't owed, from data you didn't have the right to give us, or from your breach of these terms.

15. Ending your account

You can delete your account at any time from Settings. We may close it with 30 days' notice, or straight away if you seriously or repeatedly break these terms. When your account closes, your licence ends, any subscription is cancelled, and your data is deleted as set out in our privacy notice. Sections 8, 10 (as to deletion), 13, 14 and 16 continue to apply.

16. General
